These Terms and Conditions ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Boyasa Digital Limited, a company that owns and operates the Boyasa platform, including the Boyasa websites, mobile applications for Customers, Drivers/Riders, Businesses, and Companies, and any related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines, policies, or supplemental terms referenced herein or presented to you in-app (collectively, the "Agreement"). If you do not agree to the Agreement, you must not access or use the Platform.
If you are entering into this Agreement on behalf of a business, company, partnership, or other legal entity, you represent that you have the authority to bind that entity, and "you" will refer to that entity as well as the individual accepting these Terms on its behalf.
The Platform is offered in multiple countries, currently including Nigeria, Ghana, and Kenya, and may expand to additional countries over time. Certain features, fees, currencies, payment methods, and legal disclosures may vary by country to comply with local law; the country-specific terms presented to you at signup or in-app take precedence over any conflicting general provision in these Terms for your account.
"Boyasa," "we," "us," or "our" means Boyasa Digital Limited and its affiliates.
"Customer" means a User who books a Ride or requests a Package Delivery through the Platform.
"Driver" or "Rider" means a User who registers a vehicle (car, motorcycle/bike, van, truck, or bicycle) to provide Ride or Package Delivery services to Customers and Businesses through the Platform.
"Business" means a User account registered by a merchant, shop, retailer, restaurant, or similar commercial entity that uses the Platform to send Packages to its own customers, either directly or through a Company.
"Company" means a User account registered by a white-label logistics operator, franchise, or partner organization that oversees a network of Businesses and/or Drivers on the Platform and earns a share of platform revenue in exchange for operational or brand support.
"Order" means a Ride booking or a Package Delivery request created through the Platform.
"Wallet" means the in-app digital balance associated with your account, used to pay for or receive funds from Orders, referral rewards, refunds, and withdrawals.
"Platform" means the Boyasa websites, mobile applications, application programming interfaces, and all related services made available by Boyasa.
You must be at least 18 years old and capable of forming a legally binding contract to create an account or use the Platform. By registering, you represent and warrant that you meet this requirement.
Registration requires verification of your phone number via a one-time password ("OTP") delivered by SMS, WhatsApp, or email, as applicable. You must provide accurate, current, and complete information during registration and keep it updated. Providing false, misleading, or fraudulent information is grounds for immediate suspension or termination of your account.
Each individual or entity may hold only one active account per role (Customer, Driver, Business, or Company) unless we expressly authorize otherwise. You are solely responsible for maintaining the confidentiality of your login credentials, transaction PIN, and any device used to access your account, and for all activity that occurs under your account.
Driver and Rider accounts additionally require submission of a valid government-issued national identification document and, where applicable, vehicle registration and roadworthiness documentation, which we or our verification partners will review before your account is approved to accept Orders. We may reject, suspend, or request re-submission of documents at our discretion, and may periodically re-verify your identity and documents.
Business and Company accounts require additional verification, which may include a registered business name, business address, tax or registration number, and identification of an authorized representative. We reserve the right to request further documentation to verify legitimacy before or after approval.
You must select "Remember Me" or otherwise confirm your session preference at login as prompted; enabling this option extends your session on that device until you actively log out or revoke the session, and you are responsible for the security implications of doing so on shared or public devices.
Boyasa is a technology platform that connects Customers and Businesses seeking transportation or delivery services with independent Drivers and Riders who provide those services, and connects Companies that operate networks of Businesses and/or Drivers under a shared commercial arrangement with Boyasa.
Boyasa is not a transportation, courier, or logistics company, and does not itself provide rides, package pickup, delivery, or courier services. Drivers and Riders who accept Orders through the Platform are independent contractors and are not employees, agents, joint venturers, or partners of Boyasa. Nothing in this Agreement creates an employment, agency, or partnership relationship between Boyasa and any User.
Boyasa does not control, direct, or supervise the manner, means, route, or method by which a Driver performs a Ride or Package Delivery, except to the extent necessary for Platform safety, fraud prevention, and quality standards described in this Agreement.
Boyasa reserves the right, but has no obligation, to review, monitor, or remove content, Orders, or accounts that violate this Agreement or applicable law.
Customers may request two categories of service through the Platform: (a) a Ride, which may only be fulfilled by Drivers registered with a car vehicle type, and (b) a Package Delivery, which may be fulfilled by Drivers or Riders registered with any supported vehicle type (car, bike, van, truck, or bicycle).
Before booking a Ride, you will be shown a fare estimate calculated from pickup and destination location, distance, estimated time, applicable base fare, and any surcharges (such as peak-hour or night-time pricing). For Ride Orders only, you may negotiate the fare with a prospective Driver before the Order is accepted; once a Driver accepts your Order (whether at the original or a negotiated fare), the agreed fare becomes binding for that trip, subject to adjustment only for verified route changes or waiting time as described in-app. Price negotiation is not available for Package Delivery Orders, which are charged at the calculated or company-set rate.
New Customers may be eligible for a first-ride discount, offered once per account at Boyasa's discretion, and only where applicable promotional terms are met.
You may schedule a Ride for a future date and time where the scheduling feature is available in your app version and country. Scheduled Rides are subject to Driver availability at the requested time and are not guaranteed.
For Ride Orders, you may pay by cash directly to the Driver, by bank transfer to the Driver where supported, or from your Wallet. For Package Delivery Orders, payment is made from your Wallet only, or, in the case of a Business initiating the delivery, through the Business's own payment arrangement with Boyasa.
You may search for and select a registered Business by name to send a package directly to that Business for onward fulfillment, subject to the Business's own acceptance and any applicable Business terms.
You are responsible for providing accurate pickup and destination details, being present and reasonably available at the pickup location within the time communicated in-app, and for the lawful nature of any item tendered for Package Delivery. You may not use the Platform to transport or send any illegal, hazardous, prohibited, or stolen goods, weapons, controlled substances, or property that infringes the rights of any third party.
You may rate and review a Driver, and file a report against a Driver, Business, or Company, after an Order is completed. In-app chat with Boyasa support is available at all times; in-app chat with your assigned Driver becomes available once that Driver accepts your Order and remains available until the Order is completed or cancelled.
To register as a Driver or Rider, you must select your vehicle type, submit a valid national identification document, and, where applicable, submit vehicle registration and insurance documentation for review and approval. You must maintain a valid driver's license (where legally required for your vehicle type), valid vehicle registration, and any insurance or permits required by applicable law in the country and locality where you operate.
You control your own availability by toggling your status online or offline. While online, you may be shown available Orders matching your vehicle type and location. You are under no obligation to accept any particular Order, except that repeated or patterned refusal of Orders without cause may affect your visibility, priority, or standing on the Platform, subject to applicable law.
Before accepting or declining an Order, you will be shown the relevant details, including pickup and destination or delivery address, estimated fare or delivery fee, and, for Ride Orders, the opportunity to propose an alternative fare to the Customer before acceptance. For Package Delivery Orders, multiple Drivers may be shown the same available Order and it will be assigned to whichever eligible Driver accepts first; for Ride Orders, only one Driver may hold and accept a given Order at a time.
Upon completing a Ride or Package Delivery, you must obtain confirmation of completion through the in-app method provided, which may include an electronic signature captured from the Customer, recipient, or an authorized representative at the delivery location. You must not mark an Order as complete unless the Ride or delivery has genuinely and fully concluded.
Earnings for a completed Order are credited to your Wallet promptly upon confirmed completion, net of the applicable Boyasa commission described in Section 9. You may withdraw available Wallet funds to a registered bank account at any time, subject to identity and transaction verification.
Boyasa may, at its discretion, offer a free monthly quota of Rides or Orders during which reduced or no commission applies, the terms, amount, and eligibility of which are configured by Boyasa and may be changed, suspended, or discontinued at any time with reasonable notice communicated in-app.
You are solely responsible for determining your own tax obligations, and for any income tax, value-added tax, or other levies applicable to earnings received through the Platform in your jurisdiction. Boyasa does not withhold taxes on your behalf except where required by applicable law.
You must conduct yourself professionally and safely at all times, including complying with all applicable traffic, licensing, and safety laws; refraining from operating a vehicle while impaired by alcohol, drugs, or fatigue; and treating Customers, Businesses, and other Users with courtesy and respect. You may report a Customer, Business, or Company through the Platform, and in-app chat with Boyasa support is available to you at all times. Chat with a Customer or Business becomes available once you accept their Order.
Boyasa may suspend or deactivate your account, temporarily or permanently, for safety violations, repeated substantiated complaints, fraudulent activity (including fare manipulation, fake completions, or GPS spoofing), document expiry or falsification, or any other material breach of this Agreement.
Business accounts are intended for merchants, retailers, restaurants, and similar commercial entities that use the Platform to arrange Package Delivery for their own customers, whether shipped directly to an end customer or coordinated through a Company.
You are responsible for accurately describing package contents, size, weight, and any fragile or special handling requirements at the time of booking, and for ensuring that packages tendered for delivery comply with Section 5's prohibition on illegal or hazardous goods.
You may be shown as a searchable destination for Customers wishing to send a package directly to you, and you retain the right to accept or decline inbound package requests directed to your Business account.
You may rate Drivers and Companies you interact with, report violations, and access in-app chat with Boyasa support at all times, and with an assigned Driver once that Driver accepts a delivery associated with your Business.
Depending on your country and account configuration, your Business account may operate under a Company's oversight, in which case certain commission, payout, and operational terms may be governed by the agreement between Boyasa and that Company, communicated to you in-app or via separate agreement.
Company accounts are intended for organizations that operate a network of affiliated Businesses and/or Drivers under a commercial partnership with Boyasa, and that receive a revenue share, commission override, or other compensation defined in a separate partnership agreement or in-app configuration.
As a Company, you are responsible for the conduct, compliance, and legitimacy of the Businesses and Drivers you onboard or oversee, and for ensuring they comply with this Agreement and applicable law. Boyasa reserves the right to review, audit, suspend, or remove any Business or Driver associated with your Company account for cause.
You may create and manage staff accounts with limited administrative permissions to help operate your Company account, and you remain responsible for all actions taken under those staff accounts.
Commission splits, payout schedules, and reporting tools available to Company accounts are configured by Boyasa and may be described in a separate commercial agreement; where such an agreement conflicts with these Terms with respect to commercial terms specific to your Company relationship, the separate agreement controls.
Boyasa charges a commission on completed Orders, deducted from the fare or delivery fee before crediting the Driver's, Business's, or Company's Wallet. Commission rates are configured by Boyasa, may vary by country, vehicle type, Order type, or promotional period, and are disclosed in-app before you accept an Order or at account setup.
Wallet top-ups (deposits) may be made through supported payment gateways, which vary by country and may include card payments, bank transfers, mobile money, or other locally supported methods provided by our third-party payment processors. Boyasa is not responsible for delays or failures caused by a payment processor, mobile network operator, or your financial institution.
A transaction PIN is required to authorize withdrawals, transfers, and certain sensitive Wallet actions. You are responsible for keeping your PIN confidential; Boyasa will never ask for your PIN outside the secure in-app entry field.
You may register up to three bank accounts for withdrawal purposes. Adding a new bank account requires OTP verification. Withdrawal requests are processed promptly upon approval, subject to identity verification, fraud checks, and the operating hours or processing times of the receiving bank.
All fees and commissions are inclusive or exclusive of applicable taxes as disclosed in-app for your country; you are responsible for any tax obligations arising from amounts earned or paid through the Platform.
Customers may cancel a Ride or Package Delivery request at no charge before a Driver accepts the Order. Cancelling after a Driver has accepted the Order may incur a cancellation fee, disclosed in-app before you confirm cancellation, to compensate the Driver for time and travel already committed.
Drivers who accept an Order and then repeatedly cancel without reasonable cause may be subject to reduced visibility, temporary suspension, or removal from the Platform.
Refunds for erroneous charges, duplicate payments, or verified service failures will be credited to your Wallet or original payment method, at Boyasa's discretion, within a reasonable time after the issue is verified. Disputed charges should be reported through in-app support or the reporting feature within 48 hours of the transaction.
You agree not to: (a) use the Platform for any unlawful purpose or in violation of this Agreement; (b) provide false, misleading, or fraudulent information; (c) interfere with, disrupt, or attempt to gain unauthorized access to the Platform, its systems, or other Users' accounts; (d) use GPS spoofing, automated scripts, bots, or other means to manipulate location, fares, ratings, or Order matching; (e) harass, threaten, discriminate against, or endanger any other User; (f) transport, send, or request the transport of illegal, hazardous, or prohibited items; (g) circumvent the Platform to solicit direct payment or arrange transactions outside the app to avoid fees, where doing so undermines Platform safety or accountability features; or (h) reverse-engineer, decompile, or attempt to extract the source code of the Platform except as permitted by law.
Violation of this Section may result in immediate suspension or termination of your account, forfeiture of pending Wallet balances subject to applicable law, and, where warranted, referral to law enforcement.
Boyasa takes reasonable steps to verify Driver identity and documentation before approving an account, and may conduct periodic re-verification. However, Boyasa cannot guarantee the conduct of any User and does not perform continuous real-time supervision of in-person interactions between Users.
You should exercise personal judgment and caution during any in-person interaction facilitated by the Platform, verify Driver and vehicle details shown in-app before entering a vehicle, and use the in-app reporting feature promptly to flag any safety concern.
Boyasa may share location and trip data with law enforcement or emergency services where required by law or necessary to protect the safety of a User.
After completion of an Order, Customers, Businesses, Drivers, and Companies may be prompted to rate and leave a written review of their counterparty. Ratings and reviews must be honest, based on genuine experience, and must not contain defamatory, abusive, or unlawful content.
Any User may report another User for a suspected violation of this Agreement through the in-app reporting feature. Boyasa reviews reports and may take action including warnings, suspension, or termination, at its discretion, based on the severity and pattern of substantiated conduct.
Low average ratings, sustained over a meaningful number of completed Orders, may affect a Driver's, Business's, or Company's visibility, Order matching priority, or continued eligibility to use the Platform.
Boyasa may offer a referral program allowing existing Users to invite new Users using a unique referral code. Referral rewards, if any, are credited to the referring User's Wallet upon the referred User meeting the qualifying conditions disclosed in-app (such as completing registration or a minimum number of Orders).
Boyasa reserves the right to modify, suspend, or terminate the referral program, or to withhold or reverse a referral reward obtained through fraudulent, abusive, or self-referral activity, at any time.
By creating an account, you consent to receive transactional and service-related communications from Boyasa via push notification, SMS, WhatsApp, email, or in-app message, including OTPs, Order updates, payment confirmations, and safety alerts. These communications are necessary to the operation of the Platform and cannot be fully disabled while your account remains active.
You may opt out of promotional or marketing communications at any time through your in-app notification settings, without affecting your receipt of transactional communications.
The Platform, including its software, design, trademarks, logos, and content (excluding User-submitted content), is owned by Boyasa Digital Limited or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to this Agreement.
You retain ownership of content you submit (such as reviews, chat messages, or profile photos), but grant Boyasa a worldwide, royalty-free license to use, display, and process that content as necessary to operate and improve the Platform.
The Platform integrates third-party services, including payment gateways (such as Paystack, Flutterwave, and Stripe), mapping and geolocation providers, SMS/WhatsApp messaging providers, and cloud infrastructure providers. Your use of those integrations may be subject to the third party's own terms and privacy practices, which we encourage you to review. Boyasa is not responsible for the acts, omissions, availability, or performance of independent third-party services.
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Boyasa disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Boyasa does not warrant that the Platform will be uninterrupted, error-free, or secure at all times.
Boyasa does not guarantee the availability of Drivers, Businesses, or Orders at any given time or location, and estimated fares, distances, and arrival times are approximations that may vary from actual results due to traffic, weather, or other conditions beyond Boyasa's control.
To the maximum extent permitted by applicable law, Boyasa's aggregate liability arising out of or relating to this Agreement or your use of the Platform is limited to the amount of fees paid by or to you in connection with the specific Order giving rise to the claim, or, if no specific Order is implicated, to the equivalent of the minimum amount permitted under applicable law.
Boyasa is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Platform, the acts or omissions of independent Drivers, Customers, Businesses, or Companies, or any Order.
Nothing in this Agreement limits liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by Boyasa's own negligence.
You agree to indemnify, defend, and hold harmless Boyasa Digital Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of this Agreement, your use or misuse of the Platform, your violation of any law or the rights of a third party, or any Order you participate in.
You may deactivate your account at any time through in-app settings or by contacting support, subject to settlement of any outstanding Wallet balance, pending Orders, or disputes.
Boyasa may suspend or terminate your account, in whole or in part, immediately and without prior notice, if you breach this Agreement, engage in conduct that we reasonably believe is fraudulent, unsafe, or harmful to other Users or the Platform, or if required to do so by law.
Upon termination, your right to access and use the Platform ceases, but provisions of this Agreement that by their nature should survive termination (including Sections 16, 18, 19, 20, and 23) will continue to apply.
Boyasa may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated via in-app notification, email, or a prominent notice on the Platform, and will include an updated "Last Updated" date and version number.
Continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to updated Terms, you must stop using the Platform and may deactivate your account.
This Agreement is governed by the laws of the country in which your account is registered — currently Nigeria, Ghana, or Kenya — without regard to conflict-of-law principles, unless otherwise required by applicable local law.
In the event of a dispute arising out of or relating to this Agreement, you agree to first attempt to resolve the dispute informally by contacting Boyasa support. If the dispute cannot be resolved informally within a reasonable time, either party may pursue resolution through the courts or arbitration bodies with competent jurisdiction in the country where your account is registered, subject to any mandatory consumer protection rights that cannot be waived under local law.
Boyasa is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, civil unrest, labor disputes, internet or telecommunications failures, or failures of third-party service providers.
If any provision of this Agreement is found unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
This Agreement, together with the Privacy Policy and any supplemental policies referenced herein, constitutes the entire agreement between you and Boyasa regarding the Platform, and supersedes any prior agreements or understandings on the subject.
Boyasa's failure to enforce any right or provision of this Agreement is not a waiver of that right or provision. You may not assign or transfer your rights or obligations under this Agreement without Boyasa's prior written consent; Boyasa may assign this Agreement in connection with a merger, acquisition, or sale of assets.
